Terms And Conditions

General

Acceptance of an offer from Hycontrol Limited includes the acceptance of the following conditions of sale. All quotations are made and all orders accepted are subject to the following terms and conditions, and to Hycontrol Limited's conditions which are detailed on the reverse of each order. No other addition thereto, or variation therein, shall be made unless agreed in writing by all parties.

Any waiver(s) of one or more of these conditions does not constitute a permanent waiver of these conditions as a whole. If a written customer order purports to incorporate any conditions it is specifically agreed that such conditions which are or may be perceived to be at variance with Hycontrol's are only for your internal purposes and that Hycontrol's conditions shall prevail between the two parties.

Price Basis

All prices provided to customers in either formal or informal quotations are nett ex-works and in GBP unless otherwise stated, and exclude Value Added Tax.

Payment Terms

Payment shall be made 30 days from the date of invoice unless otherwise agreed in writing by Hycontrol Limited.

Note: All new customer's first order payments will be required via Proforma Invoice unless agreed in writing by Hycontrol Ltd. Our bank details will be supplied when required.

Validity

All quotations issued are valid for a period of 30 days unless withdrawn in writing within this period. Our representations do not constitute part of our offer and liability for them is excluded. Except where referred to specifically, product descriptions are intended only to present a general idea of goods and we reserve the right to deliver goods of a modified design if we consider that we can make an improvement without expense to you.

Acceptance/Contract

Acceptance of our offer must be by written order within 30 days of the date of quotation. The contract between parties will come into force immediately upon receipt of your acceptance. We reserve the right to cancel the contract within sixty days thereafter if we have not received satisfactory evidence of creditworthiness or security for payment.

Delivery

Delivery of non-stock items is usually quoted as 4-6 weeks although this may vary depending on production conditions or other such factors - please speak to a Hycontrol representative when enquiring, and ensure you check the delivery estimation in your quotation. This despatch estimation is not binding and Hycontrol shall not be liable for failure to despatch within such time unless specifically agreed. The estimated delivery times are based on receipt of a technically and commercially clarified order and any advance payment. 

Carriage and packing are extra at cost. Delivery within the UK is assumed to comprise a single shipment to a single site.

International customers may be required to arrange collection of goods when ready for despatch. Please consult with one of our representatives prior to placing your order.

Certificates

  • Certificate of Conformity - must be specified at point of order and cannot be retrospectively supplied.
  • Materials Certificate - must be specified at point of order and cannot be retrospectively supplied.
  • Certificate of Origin - must be specified at point of order and cannot be retrospectively supplied.
  • ATEX Certificates - must be specified at point of order.

Warranty

Hycontrol's standard warranty period is 12 months from the date of delivery except when indicated otherwise. Extended warranty packages are available on request. We reserve the right to make technical changes to our equipment offerings in the course of development and progress without negatively affecting performance.

Returns

In general, if the return is due to a mistake on our part, we would issue a full credit. If not, then a handling charge will apply which is calculated on a case by case basis. Returns will be accepted at the discretion of Hycontrol Limited; they must be in the original packaging and in new (unused) condition.

Chemical Compatibility

It is the responsibility of the purchaser to ensure the chemical compatibility of the equipment quoted meets with the process requirements. Hycontrol Limited accepts no liability for incorrectly supplied items due to chemical compatibility or corrosion problems.

ATEX Requirements

It is the responsibility of the purchaser to ensure that the items quoted meet the ATEX requirements of the application and the mounting positions. Hycontrol accepts no liability for incorrectly supplied items due to ATEX requirements.

Leasing

Leasing options are available (in the UK only), for orders over £2000. Leasing enables you to spread your costs, maintain cash in your business and possibly benefit from 100% tax relief on the payments. If you are interested in leasing please let us know so that we can arrange a detailed quote.

 

Install, Service, Commission and Site Visit Specific Conditions

Cancellation/Delays

  • In the unfortunate event of the project requiring cancellation or delay the following points will apply:
  • Cancellation or delay within 10 days of the due date will mean full invoice payment will be charged plus hotels if Hycontrol is unable to cancel them. A replacement of, or addition to, the original Purchase Order will be required to complete the work.
  • Outside of 10 days, all equipment items will be invoiced on the due date as agreed in original terms and conditions.

On-Site Delays/On Hold

  • Should any delays, which are entirely beyond the control of Hycontrol,  occur during the installation period - including those caused by adverse weather conditions - any extra costs and expenses incurred due to these delays will be borne by the buyer.
  • All equipment will be invoiced and payment due as agreed in the terms and conditions.
  • The remaining workload will be assessed and all additional costs confirmed.

Exclusions

  • Haulage.
  • Civil and building work.
  • Disconnection and reconnection of existing site electrical wiring to or from any item not agreed in the original contract.
  • Commissioning quoted separately.

The Pricing of Service Work Assumes:

  • Safe, unhindered access throughout the period of the installation.
  • If engineers are delayed due to production issues or other factors which restrict access during this period and prevent them from working, then we would invoice as set out in point 1 of the Notes below.

Notes

  1. Please note that our service, installation and commissioning engineers reserve the right to stop work if, in their opinion, working conditions are or become unsafe. If this were found to be the case Hycontrol would invoice for time used (including travelling to the site) at £85 per hour, with a minimum invoice value of £350.
  2. Please note that the supply of scaffolding and lifting platforms and the safe operation of this equipment is the customer's responsibility.
  3. Hycontrol limited will provide coveralls, safety headgear, hearing protection and safety footwear. We require prior notification of any special requirements for additional PPE. The customer should advise Hycontrol in advance of all relevant safety requirements.
